Motorsport Games Finalizes Studio 397 Acquisition: Le Mans Ultimate Creator Now Fully Owned

Motorsport Games Inc. (NASDAQ: MSGM) has finally completed the acquisition of Studio 397 B.V., the Dutch developer behind some of the most acclaimed racing simulators on the market. This development represents a pivotal moment for the Nasdaq-listed company, which now holds complete control over the talented team that created Le Mans Ultimate and rFactor 2.

A Long and Complex Acquisition

The acquisition of Studio 397 has been a lengthy and intricate process, beginning with the announcement in May 2021. However, according to Motorsport Games' financial documents, some payments remained outstanding with Luminis International B.V. and Technology In Business B.V., the studio's previous owners. As of September 30, 2024, the company had deferred payment of $600,000, plus $300,000 in accrued interest.

The breakthrough came on February 26, 2025, when Motorsport Games published a new agreement that provided for the payment of $750,000 to Luminis in five installments, finally completing the acquisition and ensuring full ownership of Studio 397.

Le Mans Ultimate: An Extraordinary Success

The completion of this acquisition comes at a particularly favorable time for Motorsport Games, thanks to the overwhelming success of Le Mans Ultimate. The official simulator of the FIA World Endurance Championship and the 24 Hours of Le Mans has surpassed 100,000 units sold and has recorded exceptional results throughout 2025.

During June 2025, coinciding with the famous real-life 24 Hours of Le Mans, Le Mans Ultimate reached its peak concurrent player count, surpassing even the launch levels of February 2024 and doubling the numbers from the previous month. The title has set a record for a Studio 397 product, generating revenues over the past eighteen months approximately eleven times faster than the previous flagship title, rFactor 2.

Technological Innovations and Content

Le Mans Ultimate stands out for its use of the isiMotor 2.5 engine, the same one used in rFactor 2 but further improved. The game features Real Road 3.0 technology, which dynamically simulates the track surface, including changing surface conditions as cars drive over the track and the simulation of rain and puddles affecting the circuit environment.

The game includes officially licensed manufacturer Hypercars from the incredible 2023 centenary season, allowing players to recreate exciting battles between Toyota, Ferrari, Porsche, Cadillac, Peugeot, Glickenhaus, and Vanwall. Alongside the Hypercars, LMP2, GTE, and LMGT3 classes are present, featuring vehicles from the 2024 and 2025 seasons.

The RaceControl Platform

Parallel to Le Mans Ultimate's success, Motorsport Games has also seen significant growth in RaceControl, its matchmaking and online racing platform. RaceControl service subscriptions grew by 148% in June 2025 compared to the previous month, breaking all monthly revenue records since the new service was deployed in December 2024.

Looking Forward

With the release of Le Mans Ultimate version 1.0 on July 22, 2025, marking the exit from Early Access, the game added two new cars free for all players: the Aston Martin Valkyrie AMR LMH and the Mercedes AMG LMGT3 Evo. Studio 397 has also confirmed the addition of the European Le Mans Series to the game as an expansion of the existing agreement.
